AT&T UNLOCKED GAMES SHOWCASE

OFFICIAL RULES (“OFFICIAL RULES”)

SUMMARY

The AT&T Unlocked Games Showcase (the “Contest”) is looking for video games that are in at least an early beta version and where the Lead Developer is a woman (as defined below). AT&T will award three (3) prize packages that include prize money to help push the game over the finish line, and provide the Lead Developer the opportunity to attend the 2021 DreamHack event and promote her game. There are no requirements in terms of game subject matter or genre, but games should not have excessive violence, nudity or drug use.

In order to qualify for the Contest, Entrants (defined below) must comply with ALL of the following Official Rules and Eligibility Requirements. Failure to comply with these Official Rules and Eligibility Requirements will render a submission ineligible.

 

  1. ELIGIBILITY: This Contest is only open to legal residents of the fifty (50) United States, the District of Columbia, and Puerto Rico (the “Eligibility Area”), who are a woman, 18 years of age or older at the time of entry. For purposes of this contest, a female, or woman is anyone who was born a female or identifies as one.  Entrants must also be the Lead Developer of the game submitted for entry. For purposes of this contest, the “Lead Developer” is defined as someone who is the lead for at least one (1) major workstream of the project (i.e. development, design, storyboard, sound, levels, programming, artist). Employees of AT&T (“AT&T” or “Sponsor”), Wasserman Media Group LLC (“Wasserman” OR “Administrator”), and any promotional or other vendor agency involved in the design, administration or fulfillment of the Contest (and any other person engaged to work on this Contest) and each of the above’s respective affiliates (collectively, the “Contest Entities”) and the household members (whether related or not) and immediate family members (defined for the purposes of this Contest as a parent, spouse, child, and sibling) of such employees are not eligible to enter or win. Contest is subject to all federal, state, and local laws and regulations. Void where prohibited or restricted by law.

TIMING: Entry for this Contest begins at [12:00pm PDT] on September 28, 2020 and ends at [11:59pm PDT] on October 26, 2020 (“Initial Entry Period”). Thereafter six (6) Finalists will be selected who will answer judges’ questions and present their game, live on stream during the AT&T Unlocked Games Showcase on December 2, 2020. Winner will be determined on or about December 4, 2020. The Administrator’s computer is the official timekeeping device for this Contest.

  1. HOW TO ENTER: There is no purchase necessary to enter. All applicants must enter the Contest via the AT&T Unlocked Games microsite at www.attunlockedgames.com (the “Contest Site”). To enter the Contest you must fully complete the online application form, available at the Contest Site during the Initial Entry Period, which will include the following:
  1. Contact information for the Lead Developer:
  2. Basic Game information including:
  1. Name of Game
  2. Expected Play-Through (total estimated time to complete all levels)
  3. Platforms (PC, Mobile, Console)
  4. Genre (MOBA, FPS, RPG, etc.)
  5. Brief Description of Game (280-character limit)
  6. Current expected Launch Date
  1. A three (3) minute video introducing Lead Developer/Lead Developer team, backstory, game, etc. via an online-streaming source (YouTube, Vimeo) that should answer/address the specific questions listed on the Contest Site regarding you, your game and the importance of our initiative:
  2. A playable game demo that must be a minimum of seven (7) consecutive minutes in length (there is no maximum length). Game must be in at least early beta stages and must be submitted via an online-streaming source (YouTube, Vimeo). 
  3. A budget top sheet or summary that reflects how the $50,000 grand prize award could be used to finalize game development and/or offset game development costs.

  1. CONDITIONS OF ENTRY:
  1. A Lead Developer may only submit an entry for one (1) game. Only one submission per game may be submitted.  Any subsequent submission by a Lead Developer who already submitted an entry or for a game that has already been submitted will be disqualified. Every member working on a game that is submitted by the Lead Developer is considered a part of that game and associated submission.  Limit one (1) entry per person. Limit one (1) entry per game.

  1. Each game submission must meet the following criteria in order to be considered:

  1. Must be original, unpublished beta game that does not contain use of any content, element or material that is owned by a third party or violates a third party’s intellectual property rights in any way.
  2. Must not contain any content that 1) promotes hatred or harm against any group or person, or 2) is inappropriate, profane, indecent, sexual, discriminatory, torturous or slanderous as determined by Sponsor in its sole discretion.
  3. Must not be offensive, derogatory, threatening, disparaging or defamatory as determined by Sponsor in its sole discretion.
  4. Must not contain any content or element that is considered unlawful, or in violation of or contrary to any applicable federal, state or local law or regulation.
  5. Must not contain any content, element or material that displays any third-party advertising, slogan, logo, trademark or representation of characters indicating a sponsorship or endorsement by a third party, as determined by AT&T in its sole discretion.
  6. Must not include any disparaging remarks relating to AT&T Submission must not have been distributed online, on any platform, showcased at any physical location, or have aired on any form of television, internet streaming, or public screening prior to submission or outside of Contest.
  7. Submission must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity without permission: If the Entry contains any material or elements that are not owned by the entrant, and/or which are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any entrant at any time. Failure to provide such proof may, if requested, render Entry null and void.
  1. When submitting footage via online streaming URL: Links embedded in your online application must redirect to a streaming website where we may access your footage. PLEASE NOTE: You must not remove your footage from submitted link, or revoke access to submitted link, at any time through the submission process.
  2. The Lead Developer will be the main point of contact and conduit for all communications, prizing and documentation. If chosen as one of the Finalists, Lead Developer is expected to act as the “voice” of the campaign during the Unlocked Games Showcase Stream on December 2nd, and in all promotional materials.

Please note that submitted entries will not be considered complete until all of the materials are received.  Successful submissions, complying with all of the above, may be referred to hereafter as an “Entry” and each eligible individual submitting such Entry an “Entrant.” Contest Entities are not responsible for lost, late, stolen, mutilated, misdirected or incomplete Entries. If disputed, Entries will be deemed submitted by the authorized account holder of the email address or other method used to enter.

  1. USE OF YOUR ENTRY: All of the individual(s) included in the submission of an Entry may be referred to hereafter individually AND collectively as “you” or “your.” Contest Entities are not claiming ownership rights to your Entry, however, by submitting a Contest Entry, you agree to grant AT&T an irrevocable, royalty-free, worldwide right and license to use, review, assess, test and otherwise analyze your Entry and all its content in connection with this Contest and use your Entry, or any part(s) thereof, in any media whatsoever now known or later invented for any non-commercial or commercial purpose, including, but not limited to, the marketing, sale or promotion of AT&T products or services, without further permission from you. You will not receive any further compensation or credit for use of your Entry, other than what is described in these Official Rules.

By submitting an Entry you acknowledge that we may have developed or commissioned materials similar or identical to your Entry and you waive any claims resulting from any similarities to your Entry. Further you understand that we will not restrict work assignments of representatives who have had access to your Entry and you agree that use of information in our representatives’ unaided memories in the development or deployment of our products or services does not create liability for us under this agreement or copyright or trade secret law.

  1. JUDGING AND WINNER DETERMINATION: 
  1. The six (6) finalists will be selected as follows:

On or after October 26, 2020, a qualified panel of judges will judge all the submissions and give each a score of up to 100 based on the following criteria: Visuals (20 points) – This will judge the quality of visual display, overall aesthetics, audio elements, graphics and overall virtual look and feel. Audio Design (20 points) – This will judge the quality of sound effects and musical score. Gameplay and Mechanics (30 points) – This will judge the quality and ease of gameplay in all aspects (characters, levels, assigned controls/functions, character responsiveness, maneuvering through storyline). Creativity/Story (30 points)– This will judge the Quality of original idea and concept, new and fresh approach to content and delivery to consumers, quality of game narrative, if any. The Twelve (12) submissions with the highest scores will be selected as semi-finalists and then a second round of judging will commence, as each submission will be reviewed again by additional judges, based on the same Game-Evaluating Criteria.. On or about November 11, 2020 the six (6) submissions with the highest cumulative scores through their two (2) rounds of judging will be identified as the Finalists. In the event of a tie for the sixth slot, five (5) judges will vote on which submission(s) will move forward to the AT&T Unlocked Games Showcase. The top six (6) Finalists will then submit to a pre-interview prior to the AT&T Unlocked Games Showcase where they will answer a few short questions including but not limited to questions regarding their game, background, and plans for the prizing. During the Unlocked Games Showcase on December 2, 2020, they will showcase their entries and will again be judged, this time, independent of their earlier scores, based on the same Game-Evaluating Criteria  with the added benefit of a short Q&A with the panel of industry experts, (worth an additional 10 points). The submission with the highest score from December 2, 2020 will be named the Grand Prize Winner and the submission with the second highest score from December 2, 2020 will be named the Runner-Up Prize Winner. In the event of a tie for the Grand Prize or Runner-Up Prize the panel of industry experts will again vote on the winning submission(s). Any submissions scoring less than sixty (60) points in the initial round of judging will not be considered. Contest Entities reserve the right to select fewer Finalists/winners if an insufficient number of qualified Entries are received.  Judges will also have the opportunity to provide more qualitative detail on each game to be considered as a part of the judging, this detail may include notes that further define and/or support their scoring.

  1. Gamers Choice Determination: The Gamers’ Choice Winner will be determined by public voting.  During the live stream at the Unlocked Games Showcase, fans will be given a link to a poll on Twitch and Twitter where they can vote for their favorite game from among the six finalists’ games. Their vote should be based on the same Game-Evaluating Criteria used by the judging panel. This public voting will take place through a third-party vendor poll on poll-maker.com/attunlockedgames.com [TBC] which will open directly following the completion of the AT&T Unlocked Games Showcase livestream, on or about 8:00:00pm PST on December 2, 2020 and will remain open until 7:59:00pm PST on December 3, 2020. The eligible Finalist receiving the most votes (as determined by Sponsor) will be declared the Gamers’ Choice Prize Winner, any ties will be broken by a vote by the five (5) industry experts. All public “judges” must be 18 years or older and provide his/her email address at time of submitting a vote and will agree to recontacting. Grand Prize Winner and Runner-up Winner remain eligible to win the Gamers’ Choice Prize.

  1. FINALIST/WINNER NOTIFICATION AND DOCUMENTATION:

  1. Finalist Notification: On or around November 11, 2020 the six (6) Finalists will be notified via email and phone that they have been selected to enter the final round, a streaming event to take place at the AT&T Unlocked Games Showcase. They will have forty-eight (48) hours from the time the email is sent to confirm their availability and willingness to participate in a short pre-interview, pre-production rehearsal on November 23, 2020 and the live stream on December 2, 2020. In the event a Finalist does not respond in the 48 hours allotted or is unable to participate in the events of November 23 and December 2, 2020, the next highest scoring submission will be considered as a Finalist and the notification process will recommence as outlined.

  1. Finalist Documentation: Once a Finalist Lead Developer confirms availability and willingness to participate in the Pre-interview, Pre-Production on November 23, 2020 and AT&T Unlocked Games Showcase on December 2, 2020, on or about November 13, 2020 each Finalist Lead Developer will be sent all potential winner documents, which must be completed, notarized, and returned. Documents will include an affidavit of eligibility, liability release, and publicity release (where permitted by law), and the appropriate tax documents (collectively, the “Documents”) which must be executed and returned to Wasserman by November 23, 2020, or the next highest scoring submission will be considered as a Finalist and the notification process will recommence as outlined.

  1. Winner Notification: After the livestream event on December 2, 2020, all potential winners will be notified by email and phone. The message will include instructions for the winner to email a specified account and confirm receipt in order to claim the prize. The potential winner must respond via email within twelve (12) hours from the time of notification or the potential winner will be disqualified. Approximate notification times are as follows: Grand Prize Winner on/about 11:59:00pm PST on December 2, 2020; Runner-Up Winner on/about 12:00:00pm PST on December 3, 2020; Gamers’ Choice Winner on/about 11:59:00pm PST on December 3, 2020 after the poll closes and has been tabulated. Return of any prize/prize notification as undeliverable or failure to accept any prize within the specified time period or comply with these Official Rules may result in disqualification and forfeiture of prize. If a notified winner is not eligible, forfeits prize, or declines prize, the next highest scoring Finalist will be selected as the potential winner of that prize. If the Gamers’ Choice winner is the same individual as the individual confirmed as the Grand Prize Winner or Runner Up Winner, that winner will be notified of their additional prize and must follow the same process outlined above.

  1. PRIZES: There will be a total of Three (3) Prize winners: One (1) Grand Prize Winner, one (1) Runner-Up Prize Winner and one Gamer’s Choice Prize Winner. Each will be awarded prizes as detailed below.
  1.  Grand Prize includes:
  1. $50,000.00 to help fund final game development and/or offset game development costs (should adhere to the budget summary provided upon submission of the Entry.)
  2. A cash prize of $17, 265 which is intended to provide partial assistance to winner for additional costs, taxes, or other expenses winner might incur in connection with the prize.
  3. Trip to DreamHack 2021 for the Grand Prize winner and one (1) guest. Trip includes round-trip economy airfare from an airport within the Eligibility Area near the Grand Prize winner travel designee’s home as determined at the sole discretion of the Sponsor to Dreamhack; five (5) consecutive nights’ hotel accommodations at a hotel to be determined at the sole discretion of the Sponsor, in one (1) standard double-occupancy room, including room and tax only.  All expenses not specified herein including but not limited to meals, telephone calls, excursions, business center costs and any other incidentals are responsibility of Winner; two (2) VIP tickets to attend DreamHack 2021; and $500.00 spending cash awarded in the form of a gift card, intended to be used for meals and ground transportation.  The total approximate retail value (“ARV”) of the Grand Prize DreamHack Unlocked Games Trip including the travel detailed herein is $7,500.00.
  4. A feature at DreamHack 2021 for the game, this includes up to 20x20’ of space dedicated to and inspired by the developer’s game. Game must be ready to launch publicly by May 2021, for a premiere at DreamhHack 2021. If game is not complete or ready to be featured by end of April 2021, this portion of the prize will be forfeited. Please note the following:
  1. The Lead Developer will be put in contact with Wasserman in early 2021 to ideate and design the space. Final design and build is ultimately at AT&T/Wasserman’s discretion.
  2. Winner will submit to monthly check-ins with Wasserman to monitor their progress and provide feedback on DreamHack build.
  1. Promotional & Marketing support for your game to be provided prior to the DreamHack event in 2021 including the production of (1) game trailer up to (3) minutes in length; (2) up to (10) dedicated posts on AT&T social media channels (Twitter, Instagram); (3) paid social media program custom-curated between AT&T, Wasserman and developer based on audience and demographic targets (collectively, “Materials”). Final promotional and marketing support materials are at AT&T/Wasserman’s discretion. After the DreamHack event, the Grand Prize Winner will have limited revocable rights to use the Materials upon prior written approval from Wasserman and AT&T.
  2. Lifetime membership enrollment in International Game Developers Association, arranged by Wasserman and AT&T.
  3. A $3,000.00 AT&T Gift Card to purchase AT&T Products that will support game development.

Any prize distribution is up to the sole discretion of the Lead Developer, AT&T and Wasserman do not take responsibility. Any questions regarding sharing of prize package should be directed to the Lead Developer and Lead Developer only.

The total Approximate Retail Value (“ARV”) of the Grand Prize is $93,750.

  1. Runner Up and Gamer’s Choice Prize each include:
  1. $10,000.00 to help fund final game development and/or offset game development costs (should adhere to the budget summary provided upon submission of the Entry.)
  2. A cash prize of $6,000.00, which is intended to provide partial assistance to winner for additional costs, taxes, or other expenses winner might incur in connection with the prize
  3. Trip to DreamHack 2021 for the Runner Up and Gamers’ Choice Prize winners and one (1) guest per winner. Trip includes round-trip economy airfare from an airport within the Eligibility Area near the Runner Up and Gamers’ Choice Prize winners’ travel designee’s home as determined at the sole discretion of the Sponsor to Dreamhack; five (5) consecutive nights’ hotel accommodations at a hotel to be determined at the sole discretion of the Sponsor, in one (1) standard double-occupancy room, including room and tax only.  All expenses not specified herein including but not limited to meals, telephone calls, excursions, business center costs and any other incidentals are responsibility of each Winner; two (2) VIP tickets to attend DreamHack 2021; and $500.00 spending cash awarded in the form of a gift card, intended to be used for meals and ground transportation.  The total approximate retail value (“ARV”) of the Runner Up and Gamers’ Choice Prize winners’ DreamHack Unlocked Games Trip including the travel detailed herein is $7,500.00.
  4. A kiosk feature at DreamHack 2021, not to exceed 10 x 5’ each. Feature will be dedicated to and inspired by the developers’ game.
  1. The developers will be put in contact with Wasserman in early 2021 to ideate and design the space.
  2. Winners will submit to monthly check-ins with Wasserman to monitor their progress and provide feedback on DreamHack build.
  1. A $2,500.00 AT&T Gift Card to purchase AT&T Products that will support game development.

Any prize distribution is up to the sole discretion of the Lead Developer, AT&T and Wasserman do not take responsibility. Any questions regarding sharing of prize package should be directed to the Lead Developer and Lead Developer only.

If the winner of the Gamers’ Choice Prize is the same as the winner of the Runner Up Prize or Grand Prize, Gamer’s Choice winner may elect to take two additional guests to fulfill the Trip portion of the Gamer’s Choice Prize.

Total ARV of Runner-Up Prize is $26,000. 

Total ARV of Gamer’s Choice Prize is $26,000.

If the winner of the Gamers’ Choice Prize is the same as the winner of the Runner Up Prize or Grand Prize, Gamer’s Choice winner may elect to take two additional guests to fulfill the Trip portion of the Gamer’s Choice Prize.

  1. ADDITIONAL PRIZE TERMS

All costs and expenses related to prize acceptance and use not specified herein as being awarded shall be the sole responsibility of each winner, including, but not limited to, all federal, state and local taxes, any additional wireless service not expressly provided as part of a prize, and any additional transportation costs, luggage fees, hotel incidentals, meals, souvenirs and gratuities incurred by the Grand Prize winner, the Runner-Up Winner, Gamer’s Choice Winner (collectively “Trip Winner” or “Trip Winners”), as applicable or their guests. Travel air carriers, hotel accommodations, activities, and all elements of the Trip Prize will be determined solely by the Sponsor in its sole discretion. Airline carrier’s regulations and conditions apply. Trip elements may not be combined with any other offer and travel may not qualify for frequent flyer miles. Each Trip Winner and her selected guest must travel together on the same itinerary. Trip Winners and guests must possess any necessary valid travel documents (e.g., valid government-issued photo Real ID, etc.) in order to travel. Seat selection and timing of trip are subject to availability and confirmation of reservations and any extra charges incurred while booking travel are Trip Winners’ sole responsibility. No refunds or credits for changes are allowed.

Sponsor is not responsible if any Trip Winner or guest is denied access to the aircraft, Hotel or Event.  In such case Trip Winner and/or guest will be solely responsible for any expenses incurred and the prize may be forfeited, in whole or in part. Trip Winners must comply with all Hotel check-in requirements including, without limitation, the presentation of a major credit card.  

All Trip Winners and guests must comply with all venue rules and regulations; failure to do so may result in forfeiture of the relevant portion of their prize.  The Sponsor shall have the right, but not the obligation, to conduct a publicity and background check of any and all records (including, without limitation civil and criminal court records and police reports) of any Trip Winner and /guest, and, based on such results, may disqualify the Trip Winner and/or guest, in its sole discretion. Trip Winners and guests agree to authorize and cooperate with such publicity and background check. If the actual value of any portion of any prize is less than stated, the difference will not be awarded in cash or otherwise, and no such claim will be honored. If any Trip Winner resides within 300 miles of Dreamhack 2021 (as determined by Sponsor), alternate arrangements to travel by ground transport or auto may be made by the Sponsor.

All Trip Prizes must be taken and completed on the dates specified by the Sponsor/Wasserman, or that portion of the Grand Prize/Runner-Up Prize/Gamers Choice Prize shall be forfeited and no additional prize element substituted.

Any and all guarantees and warranties for service or merchandise prizes are subject to the service provider’s or manufacturer’s terms and conditions, and winners agree to look solely to such service providers or manufacturers for any such warranty or guarantee claim. Certain conditions and restrictions apply. 

Prizes are not redeemable for cash. No substitution, transfer, or assignment of prize permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value.

Each Winner must provide to Sponsor a complete and valid IRS Form W-9 prior to receiving Prize. The value of Prize is taxable to each Winner as income. An IRS Form 1099 will be issued in the name of Winner for the actual value of Prize awarded if the aggregate value of Prize awarded to and other compensation received by Winner from Sponsor is $600 or greater for the calendar year. All federal, state and local taxes, and any other costs and expenses associated with acceptance and/or use of Prizes not specifically provided for in these Official Rules are solely the Winner’s responsibility. Sponsor makes no representations to Winner regarding the tax consequences of any Prize.

  1. ADDITIONAL TERMS
  1. Release and Choice of Law: By entering, Entrant agrees to accept and abide by the Official Rules of this Contest and agrees that any dispute with regard to the conduct of this Contest, rules interpretation, or award of prize, shall be resolved by Sponsor, whose decision shall be binding and final. By entering, Entrant agrees to be notified by email and phone of the winning Entry by the Sponsor and/or Administrator for the purposes of the administration of this Contest. This Contest is governed by the laws of the State of Texas, and Entrant consents to the exclusive jurisdiction and venue of the Courts of the State of Texas for any disputes arising out of this Contest. All federal, state, and local laws and regulations apply. By participating, Entrant agrees to release and hold harmless the Contest Entities and their respective employees, directors and shareholders (collectively, the “Released Parties”) from any injury, loss or damage to person, including death or property damage due directly or indirectly to the acceptance, use, or misuse of a prize, or part thereof participation in any Contest-related activity, or participation in the Contest. The Released Parties are not responsible for: any incorrect or inaccurate Submission information; inability to connect with any website, including but not limited to the Contest Site; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, hardware or software, including without limitation any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in the Promotion; theft, tampering, destruction, or unauthorized access to, or alteration of, Submissions; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site or for any other reason whatsoever; typographical, printing or other errors; any other Promotion related materials which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, or any combination thereof.  Entrants, by participating in the Promotion, agree that the Releasees shall have no liability whatsoever for, and shall be held harmless by Entrants against, any liability for any injuries, losses or damages of any kind, including, but not limited to, death or injury to persons, or property loss or damage, relating or resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any award or participation in this Promotion.  Proof of attempting to submit a Submission is not considered proof of delivery or receipt.  Illegible or incomplete Submissions will be disqualified.   False, fraudulent or deceptive Submissions or acts shall render its Entrant(s) ineligible. In the event the Sponsor is prevented from continuing with this Contest, or the integrity and/or feasibility of the Contest is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, actual or threatened public health crisis (including, without limitation, an epidemic or pandemic) or any federal, state, or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a “Force Majeure” event), the Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Contest without notice or further obligation. If the Sponsor, in its discretion, elects to abbreviate the Contest span class="c2">the Sponsor reserves the right, but shall have no obligation, to determine the winner(s) based upon the judging process detailed above, from among all valid and eligible Entries received up to the time of such Force Majeure event.
  2. Indemnification and Representations & Warranties: Entrant acknowledges, agrees and warrants that nothing in the Submission infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than the Entrant, absent a suitable license, clearance or permission agreement (proof of which is required upon submission), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured.  Entrant agrees to indemnify and hold harmless each of the Sponsors and each of their owners, officers, directors, employees, and affiliated organizations, and their respective officers, directors, shareholders and employees, from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by Entrant of these Terms or the warranties and representations made by Entrant in this paragraph.  
  3. Arbitration: Except where prohibited by law, as a condition of participating in this Contest, Entrants agree that (1) any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, and not as a participant in any class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out-of-pocket expenses (i.e., costs directly attributable to participating in this Sweepstakes), and Entrant further waives all rights to have damages multiplied or otherwise increased.

  1. PUBLICITY RELEASE: Entrants further grant to Sponsor the right to use and publish their proper names and states online, in print, and in any other media in connection with the Contest. Acceptance of a prize constitutes permission for Sponsor to use winners’ and guests’ names and likenesses for advertising and promotional purposes without notice, review, approval, or additional compensation unless prohibited by law.
